Private equity investors may soon be allowed to tap offer-for-sale route

Date posted: Friday 6 June 2014

The Securities and Exchange Board of India (Sebi) may soon allow private equity funds and other large investors to offload their stakes in listed companies through the offer-for-sale(OFS) route. The capital market regulator will also tweak norms on the minimum issue size requirement for initial public offerings as many companies were bypassing rules. Currently, rules allow only promoters of publicly-traded companies to sell their shares through the OFS route. The OFS system is a secondary market window where a promoter shareholder can sell a large chunk of its shares to any class of investors and the buyer has to provide the money upfront. Also, only top 100 companies by market capitalization are allowed to use the OFS route that list may be expanded
